Fall Banquet & Annual Meeting

All St. Croix Sailing Club members are asked to attend the 2023 fall banquet and annual club meeting. In addition to the usual social hour and dinner buffet, we’ll have the following:
- An entertaining recap of the year’s highlights from current board members
- A keynote address from longtime club member Bill Hooper including photos and stories from our club’s early days
- Voting in of the 2024 Board of Directors
- Voting on two bylaw changes recommended by our current Board of Directors (see below for official notice of the changes)
- Awards Presentations!

Notice of Proposed Bylaw Changes
The 2023 SCSC Board of Directors has recommended two changes to the St. Croix Sailing Club’s bylaws: Bylaw 8.1 Officers, and the addition of a new Bylaw 11.3 Capital Fund.
- Bylaw 8.1 Officers
Context: Current Club bylaws restrict the ability of Club Commodores to hold multiple board positions simultaneously. Specifically, the Rear Commodore “shall hold no other office,” and the Commodore may not simultaneously be the Vice Commodore or Secretary. We believe that these constraints are outdated and unnecessarily limit the board’s ability to do the work necessary to properly serve the Club’s membership, particularly when there are not enough volunteers to fill all board positions.
Recommended bylaw change: The final sentence of Bylaw 8.1 Officers (“Any two offices, except those of Commodore and Vice Commodore and those of Commodore and secretary, may be held by the same person; the Rear Commodore shall hold no other office.”) is to be stricken, as follows (bold font added):
The officers of the Club shall include a Commodore, who shall be president; a Vice Commodore, who shall be Vice President; a Secretary; a Treasurer; a Regatta Chairperson; a Rating Committee Chairperson; a Program Chairperson; a Cruise Chairperson; a Marketing Chairperson; and a rear Commodore. All of the officers, except the Rear Commodore, shall be chosen by the membership at the annual membership meeting; the Rear Commodore, shall be the immediate past Commodore. Any two offices, except those of Commodore and Vice Commodore and those of Commodore and secretary, may be held by the same person; the Rear Commodore shall hold no other office.
- Bylaw 11.3 Capital Fund
Context: In order to assure that the Club always has the equipment necessary to support the safe conduct of sailing events on the St. Croix River, the Board has recommended a new Bylaw for the establishment of a Capital Fund specifically dedicated to provision and maintenance of the committee boat, motor, and related equipment. Proactively allocating funds for predictable future equipment needs is intended to prevent the future need for large fund-raising efforts, such as was necessary for us to replace our worn-out committee boat this year.
A Capital Fund shall be maintained for the provision and maintenance (excluding routine and expected maintenance) of equipment necessary for the safe conduct of club sailing events, principally including committee boat(s), motor(s), and related equipment. At minimum, ten percent of the Club’s annual gross income shall be allocated to the Capital Fund. Additional revenues may be allocated to the Fund at the Board of Directors’ discretion.
These bylaw changes will be voted upon by all Regular Members attending our Annual Membership Meeting, 7:00 PM Saturday, November 11 2023 at White Eagle Golf Club, Hudson WI.
